Genesis merged with the pet brand that buys its algae
Genesis Group, Australia's largest commercial Chlorella producer, merged with Proudi, the Brisbane pet food manufacturer that already buys Genesis-grown algae for its supplements.
A commercial algae producer just bought the pet brand that buys its ingredient. Genesis Group, the agricultural arm of BioGenesis and Australia's largest commercial Chlorella producer, merged with Proudi, a Brisbane-based pet food manufacturer that already uses Genesis-grown Chlorella in its cat and dog supplements. The transaction turns a supplier-customer relationship into a single vertically integrated company controlling both raw ingredient production and finished-product retail distribution.
The pattern: ingredient suppliers are buying brands rather than selling bulk
Genesis was already selling Chlorella to Proudi and other animal nutrition brands, and now it owns the brand, the formulas, and the retail relationships. The company told GlobalPETS the merger combines its production capabilities and research infrastructure with Proudi's established consumer brands and retail network.
Proudi manufactures natural pet food and treats supplemented with Chlorella, a freshwater microalga commonly used as a dietary supplement. Genesis already sells its own YumGuard line incorporating Chlorella as a functional ingredient, and the company said it is progressively integrating the substance into new and upgraded formulations, including Proudi's newly launched Air Proudi air-dried raw food range.
The combined entity now controls Chlorella production at Genesis's in-house Queensland factory, product development across both brands, and distribution through Proudi's retail network. Genesis said its factory has the capacity and flexibility to support further growth.
What the merger bought Genesis: Coles and a 300% growth rate
Genesis forecasts the merger will double its revenue through two channels it didn't control before. Proudi signed a new national distribution agreement with supermarket chain Coles, and its products are scheduled to enter Coles' distribution network in the coming weeks. Proudi already supplies Australian pet retailers Petbarn, Pet Circle, PetO, PetQuarters, and Just For Pets, plus independent pet stores and distributors.
The company also told GlobalPETS that its YumGuard brand recorded sales growth of more than 300% year-over-year as demand for premium Australian-made pet nutrition products increases across Asia. Genesis said the current revenue split is around 70-80% domestic and 20-30% export, and it expects overseas sales to account for a growing share in future.
Vertical integration gives Genesis margin control at both ends. It sets the ingredient cost because it grows the Chlorella, and it captures the retail markup because it owns the brand. The company said operating across multiple Chlorella applications enables it to leverage shared capabilities, infrastructure, expertise, and procurement advantages, improving operating efficiency and strengthening the economics of its integrated business model.
Our read: this changes the negotiation if your supplier owns a competing brand
If you stock a brand that uses a specialty ingredient (algae, a specific probiotic strain, a patented extract) and the ingredient supplier merges with or launches its own brand, you now have less leverage. The supplier used to need your shelf to move volume through multiple brands. Now it has a house brand and it controls supply to your other brands in the category, and that changes pricing, terms, and how hard the supplier works to keep your other brands in stock when allocation gets tight.
Proudi will have access to Genesis's shared resources, technology, and talent, supporting its retail expansion and increasing product availability, the company said. Genesis can prioritize Proudi's production runs and use its factory capacity to support Proudi's growth. Your other Chlorella-supplemented brands may face longer lead times or tighter allocation if Genesis decides Proudi comes first.
The pattern predicts more of this in categories where a single ingredient supplier controls most of the raw material. If you stock multiple brands in a specialty supplement category and they all source from the same supplier, watch for the supplier to buy one of them or launch its own line. When that happens, reorder your other brands in the category before the supplier's house brand launches, because allocation tightens fast once the supplier has its own margin to protect.
What would prove us wrong
Genesis keeps supplying third-party brands at the same lead times and terms after the merger, and Proudi's retail expansion doesn't squeeze shelf space for competing Chlorella brands. If Genesis treats its ingredient customers the same way it did before it owned a brand, the vertical integration is just a capital structure move and it doesn't change the category. We'd also be wrong if Proudi's Coles distribution and international growth come from expanding the category rather than taking share from existing brands.
What to watch next
Proudi enters Coles in the coming weeks. If Genesis-owned Proudi takes endcap or premium placement at Coles while independent Chlorella brands stay on the bottom shelf or lose distribution entirely, the vertical integration is working the way we think it is. Also watch whether other Chlorella-supplemented brands report longer lead times or allocation issues in the next 90 days, because that would confirm Genesis is prioritizing its house brand's production.
Under the new structure, Proudi founder Dennis King will join the group's Board of Directors, while Eric Chen will remain Genesis Group's CEO, overseeing operations across agriculture, animal health, human health, and environmental sustainability. The transaction is also expected to accelerate product development, improve manufacturing efficiency, and support expansion into additional nutrition categories, the company said.
